A branch office is an additional branch office of a company, but it is a self-employed business and is not a separate legal entity like a subsidiary. This interposition has legal implications, especially at international branches.

Branches of foreign companies located in Germany are partly subject to the law of one or other country. An essential feature of a branch is that it does not only carry out auxiliary transactions, but rather typical transactions of the company with its own disposition framework. If this is the case, there is a branch office.

Branches must be registered in the commercial register of the main branch and may, in return, lead the company of the company with additions. The management of a branch may be largely dependent on the rules, nor is procuration or competency required.
